IN NO EVENT WILL WOVE PHOTONIC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID TO WOVE PHOTONIC IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless Wove Photonic, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.
Our Site may contain links to third-party websites, resources, or services that are not owned or controlled by Wove Photonic. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites. We encourage you to review the privacy policies and terms of service of any third-party sites you visit.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the federal or state courts located in San Francisco County, California, and you hereby consent to the jurisdiction of such courts.

Wove Photonic will not be liable for any failure or delay in performance of our obligations under these Terms to the extent that such failure or delay is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, governmental actions, internet outages, cyberattacks, or other events beyond our reasonable control. We will provide notice of any such event and use commercially reasonable efforts to resume performance as soon as practicable.
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer our rights and obligations under these Terms, including in connection with a merger, acquisition, sale of assets, or by operation of law, without your consent. Any purported assignment in violation of this section is void.
We may provide notices to you by email, through the Site, or by other reasonable means. Notices provided by email will be effective when sent to the email address you have provided to us.
